This Online Account Services Terms and Conditions (“T&C”) governs your use of online or mobile services offered and maintained by Personal Finance Center (“PFC”) and accessible through pfcguam.com to access and view your PFC accounts using a computer or mobile device, including a smart phone, tablet or any other eligible communication device (the “Services”).

Your use of the Services is also governed by and subject to by all policies posted on PFC’s website. Please carefully read this T&C and all policies accessible by the links provided at the bottom of each of our website pages, including Privacy Policy and PFC’s website Terms and Conditions. All such policies are incorporated into this T&C.

By selecting the check box entitled “I have read, and I understand and agree to the PFC Online Account Services Terms and Conditions,” you agree to all terms, conditions, and notices contained or referenced in the T&C and you are providing your express consent. Additionally, by accessing and/or using the website and the Services, you acknowledge that you have read and agree to be bound by this T&C.

1. Services.

The Services include functions to view your account(s) (including viewing account balances and tracking recent account activity), update your contact and security information, select statement delivery preferences, and learn more about PFC. With respect to account balances, you agree that the balance of your account(s) may change at any time as PFC processes items and fees against your account(s).

PFC may, in its sole discretion, terminate, change, modify, suspend, make improvements to or discontinue any or all aspects of the Services, temporarily or permanently, at any time with or without notice to you, and you agree that PFC shall not be liable to you or to any third party as a result of taking any of these actions.

From time to time, PFC may develop and provide additional services. As such services are developed, you will have the opportunity to add them to your account profile, provided you have compatible hardware and software and meet eligibility criteria for the services as defined by PFC.

2. Eligibility.

The Services are only available to individuals who are: (i) of the legal age of majority in their jurisdiction of residence (at least 18 years of age); and (ii) the primary owner or authorized user of one or more PFC accounts.

3. Registration.

If you are eligible for the Services, you may establish an online account to access such Services. As part of your account set-up, you agree to provide us with true, accurate, current and complete information about yourself and update us if there are changes to the information. You acknowledge and agree that PFC will have no liability associated with or arising from your failure to maintain accurate registration information, including your failure to obtain important information and updates about the Services. If PFC has reasonable grounds to suspect that any information you provided to us is untrue, inaccurate or incomplete, PFC may at its own discretion and without any prior notice to you, suspend or terminate your access to the Services and/or refuse any and all current or future use of the Services by you.

As a part of your account registration, you are required to establish a username and password. These pieces of data are used to authenticate you when you use the Services. They act as your signature. You are responsible for protecting the confidentiality of your username and password. It is important that you do so since we are not responsible for any losses you incur as a result of unauthorized use of your account and, depending on the circumstances, PFC may hold you responsible for unauthorized use of your account. You agree to notify us immediately of any unauthorized use of your username or password, or any other actual or potential security breach relating to your account.

You are responsible for all use of your account and for ensuring that use of or access to your account complies fully with this T&C. You acknowledge and agree that any use of the Services occurring through your current username and password shall be deemed to be your actions and that PFC may rely upon such actions.

4. Technical Difficulties.

There may be technical or other difficulties related to the website or the Services. These difficulties may result in loss of data, personalized settings or other interruptions. Neither PFC nor its service providers assume any responsibility for the timeliness, deletion, or mis-delivery of any user data, failure to store user data, communications or personalized settings in connection with your use of the website or the Services; nor for the delivery or the accuracy of any information requested or provided through the website or the Services.

6. Relationship to Other Agreements.

You agree that when you use the Services, you will remain subject to the terms and conditions of all existing agreements with PFC, and you agree that this T&C does not amend or otherwise modify any existing agreement you may have with PFC. In the event of any inconsistency between this T&C and any existing agreement you have with PFC, this T&C governs as to your use of the Services. You are responsible for ensuring that your use of the Services complies with your accountholder agreement with PFC.

7. Fees and Charges.

The Services are provided to you without charge. PFC reserves the right to impose fees and charges for the Services including any additional services provided or offered on the website.

You are solely responsible for acquiring any hardware, devices, software, wireless and internet access, other items required for you to use or access the website and the Services and any associated fees, expenses or other charges.

You acknowledge that certain message and data rates may apply from your internet service providers, wireless service providers and/or wireless carriers which might impact your use of the Services. For example, your mobile service carrier or provider may impose data usage or text charges for your use of or interaction with the Services, including downloading the software, receiving or sending text messages, or other use of your mobile device when using the software or other products and services provided in connection with use of the Services. You expressly agree that you are responsible for all such fees, limitations, and restrictions and we may contact you via your mobile device for any purpose concerning your accounts at PFC, including account servicing and collection purposes.

8. Account Ownership & Accurate Information.

You represent that you are the legal owner of the account and other financial information which may be accessed via the Services. You represent and agree that all information you provide us in connection with your use of the Services is accurate, current, and complete, and that you have the right to provide such information. You agree not to misrepresent your identity or your account information. You also agree not to use the website or the Services for any fraudulent or unlawful purpose.

9. Proprietary Rights.

All ownership rights in the Services, including website content, is retained by PFC, its affiliates and their licensors, and protected under applicable copyrights, trademarks and other proprietary (including, intellectual property) rights and international treaties. All rights not expressly granted to you through this T&C are retained by PFC, its affiliates and their licensors. Nothing in this T&C grants to you any right to use any of PFC’s, its affiliates’ or any other third party’s trademarks, service marks, logos or other indicia of origin.

10. License Grant.

PFC grants to you a limited, revocable, non-exclusive, non-sublicensable and otherwise non-transferable license to use the Services and the website for your own personal and non-commercial use strictly in accordance with this T&C, provided this does not prohibit you from using your account(s) for other non-prohibited purposes.

PFC may in its sole discretion suspend, discontinue or terminate this license at any time, for any reason. All rights not expressly granted to you are reserved by PFC, its affiliates or their licensors.

11. Privacy and Security.

PFC may at any time request the following from you in relation to your use of the Services: electronic credentials, such as security questions and answers; implementation of features added to enhance and assist in keeping device content safe; or to contact authorities when suspicious account activity or member security-related events occur.

Your personal or financial information is only sent through secure channels. PFC does not store any personal information (such as email, phone number or address) or financial information on the website. None of your financial information is saved in your computer or mobile device, unless you save it yourself.

12. EXCLUSION OF WARRANTIES; LIMITATION OF LIABILITY; INDEMNIFICATION.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE WEBSITE OR THE SERVICES IS AT YOUR SOLE RISK. THE WEBSITE AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF TITLE, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU AGREE THAT PFC, ITS SUBSIDIARIES AND AFFILIATES, CANNOT BE HELD LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL OR SPECIAL PUNITIVE OR CONSEQUENTIAL DAMAGES THAT RESULT IN ANY WAY FROM YOUR USE OR INABILITY TO USE THIS SERVICE OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERROR, DEFECTS, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE WEBSITE OR THE SERVICES IS OBTAINED AT YOUR OWN DISCRETION AND RISK, AND PFC IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL, WHETHER DUE TO ANY COMPUTER VIRUS OR OTHERWISE. PFC MAKES NO REPRESENTATION OR WARRANTY AS TO THE COMPLETENESS, ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION OR DATA THAT YOU OBTAIN THROUGH THE USE OF THE WEBSITE OR THE SERVICES.

13. Third-Party Websites.

The website may contain links to third-party websites or services that are not owned or controlled by PFC. Unless specifically noted, PFC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. You further acknowledge and agree that PFC, its affiliates, and subsidiaries, shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods or services available on or through any such websites or services.

14. Modification of T&C.

PFC reserves the right, in its sole discretion, to modify this T&C at any time with or without further notice to you by posting the most recent version of the T&C on its website, without specific notice to you. You are advised to periodically review the T&C for changes that might affect you or your use of the Services. To the fullest extent permitted under applicable law, your continued use of the Services after any such modification constitutes your acceptance of this T&C as modified. If you do not agree with any of the T&C, you must not use the Services.

15. Governing Law.

To the fullest extent permitted by law, you and PFC agree that this T&C shall be governed by and construed in accordance with the internal laws of the Territory of Guam, and that any disputes, claims or causes of action arising out of in connection with this T&C shall be resolved exclusively within the federal and local courts residing within the Territory of Guam. You acknowledge that any violation of the terms of this T&C, or misuse of the website or the Services, or infringement of any mark may cause PFC irreparable harm, the amount of which may be difficult to ascertain, and therefore you agree that PFC shall have the right to apply to a court of competent jurisdiction for an order enjoining any such further misappropriation and for such other relief as PFC deems appropriate. This right of PFC is to be in addition to the remedies otherwise available to PFC.
